Snowmass Tourism will coordinate with TOSV Public Works prior to event to post parking signage in Village (Rodeo Lots, Numbered Lots, etc). Security Plan: Snowmass Tourism is planning to contract Aspen Event Services to head up security. Randall Meeker will act a primary contact. Exact numbers of security personnel TBD. Snowmass Tourism will coordinate closely with AES and TOSV PD to determine exact numbers and positions, but will include: entrance/exit, backstage access, rovers, perimeter and any other positions deemed necessary by TWP, TOSV PD & AES . Snowmass Tourism will, of course, continue to build upon our strong relationship w/ TOSV PD, and determine where/when public law enforcement may be needed. Medical Plan: Snowmass Tourism will use 911 to summon emergency services. Emergency checkpoint will move back to Elbert Lane, however, this can be discussed with SWFPD and TOSV PD to determine best staging area. Security Contact for public safety officials will be Randall Meeker (or AES appointed captain). Expected attendance is between 1500-3000 for all events Egress will change for many of the events. Please review closely ALL ADJUSTED START AND END TIMES. Primary egress will be thru Village Mall to RFTA & Village Shuttle stops and to numbered lots. There will be no divergence from a plan that is approved by the SWFPD & TOSV Police. This plan will include: -Establish and maintain fire/emergency access lanes to grounds, backstage, vendor/concession areas. -All entrances and exits marked on site plan. -All structure will have flameproof certifications and will meet uniform fire code. -Fire extinguishers will be provided for structures as per code. -Paramedics/EMTs on site for festival operating hours. -Snowmass Tourism will schedule a site walk thru with SWFPD & TOSV Police prior to event. -Any deviations will be approved by SWFPD and TOSV Police. Public Address will be from Fanny Hill Stage and provide information and direction in case of emergencies. Event will go on rain or shine. Transportation/Traffic Plan: Snowmass Tourism will be promoting the use of public transportation to the event as parking around Snowmass Mall will be extremely limited. Attendees will be encouraged to utilize RFTA & TOSV Shuttles to attend event. Promoted parking will be in Base Village garage, Rodeo Lot and Intercept Lot. Snowmass Tourism will coordinate with RFTA and TOSV shuttles to determine what additional services will be required to accommodate expected crowds for arrival and egress. Parking Plan: Use of public transit (RFTA & Snowmass Village Shuttles) will be highly encouraged and promoted as favored transport to event. Numbered parking lots in village will be primary parking for lodge guests. Additional spaces avail for free summer parking. Base Village Parking Garage -Avail parking for event days. Normal rates would apply. Transport to festival via "Skittles" Snowmass Tourism will communicate with both garage and gondola operators on expected attendance, operating hrs etc Rodeo/Town Park Lot -Avail parking event days. Dirt lot behind Rodeo arena will be used as overflow from rec center lot. Transport to event via Village Shuttles. Again, Snowmass Tourism will be in communication with Police, Village Shuttle, rodeo operators etc throughout planning and event days. Intercept Lot -Avail parking event days. Transport to event via RFTA buses. Parking signage will be coordinated between TOSV Public Works and Snowmass Tourism. Sanitation/Recycling Plan: Snowmass Tourism will be coordinating with Luis Mendoza @ Lamas Events or Aspen Skiing Company for site management. This company has been hired in this capacity for this event for several years and is well acquainted with the event. They will perform daily site sweep as well as oversee all production entities to ensure they maintain their spaces in accordance to event & wildlife standards. The equivalent of 16 portable toilets will be brought on site for event attendees. All toilets, hand washing stations etc will be serviced prior to the event the following week. Potable water will be provided to festival attendees. Accessibility Plan: Clear path of travel around venue- ADA accessible. ADA toilets available on site. ADA parking available at each festival parking location. All RFTA & TOSV Shuttles are ADA accessible. Through egress each night, the area surrounding the site will be appropriately lit in order to avoid confusion and mishap. Transportation/Traffic Plan: Snowmass Tourism will be promoting the use of public transportation to the event as parking around Snowmass Mall will be extremely limited. Attendees will be encouraged to utilize RFTA & TOSV Shuttles to attend event. Promoted parking will be in Base Village garage, Rodeo Lot and Intercept Lot. Snowmass Tourism will coordinate with RFTA and TOSV shuttles to determine what additional services will be required to accommodate expected crowds for arrival and egress. Parking Plan: Use of public transit (RFTA & Snowmass Village Shuttles) will be highly encouraged and promoted as favored transport to event. They will perform daily site sweep as well as oversee all production entities to ensure they maintain their spaces in accordance to event & wildlife standards. The equivalent of 16 portable toilets will be brought on site for event attendees. All toilets, hand washing stations etc will be serviced prior to the event the following week. Potable water will be provided to festival attendees. Accessibility Plan: Clear path of travel around venue- ADA accessible. ADA toilets available on site. Hool Revocable Separate Property Trust U/T/A July 28, 2000 and the Linda K. Vos Caudill, Pitkin County, CO under a certain easement agreement granted by Snowmass American Corporation, a Delaware corporation, to Snowmass Skiing Corporation, a Colorado corporation, (the predecessor to the Aspen Skiing Company) by instrument recorded November 24, 1972 in Book 269 at Page 162 and as amended by document recorded September 20, 1978 in Book 355 at Page 142, and Partial Release of said Agreement recorded August 12, 1988 in Book 570 at Page 803 as Reception No. 302894, hereinafter referred to as the "Ski Easement"; and WHEREAS, the GID has requested Grantor to authorize use of the Skittles during times the Snowmass Ski Area is not operating, including the summer; and WHEREAS, the GID has further requested Grantor to confirm the operation of the Skittles during the hours of operation of the Snowmass Ski Area; and WHEREAS, the Town has requested Grantor to authorize use of a certain portion of the Timbermill Property for the conduct of summers events on adjoining Fanny Hill; and WHEREAS, the GID and the Town are local governments and therefore districts within the meaning of Article X Section 20 of the Colorado Constitution; hereinafter referred to as "TABOR," and are subject to the terms and conditions of TABOR; and WHEREAS, Grantor, the GID and the Town have reached a verbal agreement on the use of the Skittles and a portion of the Timbermill Property on the terms and conditions as hereinafter set forth. NOW, THEREFORE, for good and valuable consideration, the adequacy and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. License Fee. Upon execution hereof, the GID and the Town will pay Grantor a one-time nonrefundable license fee of Twenty -Five Thousand Dollars ($25,000.00). 2. GID License. Grantor hereby grants to the GID a nonexclusive license to operate, maintain, repair and replace the Skittles in the location on the Timbermill Property as depicted and described on Exhibit "A" attached hereto, hereinafter referred to as the "GID License." 3. Conditions of GID License. Activities within the GID License are limited as follows: a. The Skittles may be operated daily after the Snowmass Ski Area closes for the day during its winter ski season operation commencing at the time Page 2 of 9 of cessation of the use of the Skittles as a ski lift by ASC. b. The Skittles may be operated during the summer season during the months of June, July, August and September. C, No pets or animals are permitted. d. The area within the GID License will be maintained in an orderly and clean condition free of trash, litter, garbage and the like. e. No permanent improvements may be constructed or installed. Temporary improvements consistent with the uses permitted hereunder may be installed and utilized, subject to the terms of the Ski Easement. f. Any damage to the area within the GID License shall be promptly repaired and restored that is caused by use of the GID License. 4. Town License. Grantor hereby grants to the Town a revocable nonexclusive license to conduct public community special events on a portion of the Timbermill Property as depicted and described on Exhibit "A" attached hereto, hereinafter referred to as the "Town License." 5. Conditions of Town License. Activities within the Town License are limited as follows: a. The Town may conduct public community special events including concerts, theatrical performances and cultural events, including the right to permit its guests and event attendees, during the months of June, July, August and September only. b. No pets or animals are permitted. C. The area within the Town License will be maintained in an orderly and clean condition free of trash, litter, garbage and the like. d. During all events and upon conclusion thereof, the area within the Town License and the adjoining area of the Timbermill Property will be free of trash, litter, garbage and the like. e. No permanent improvements may be constructed or installed. Temporary improvements consistent with the uses permitted hereunder may be installed and utilized, subject to the terms of the Ski Easement. Page 3 of 9 Any damage to the area within the Town License or any damage to improvements thereon caused by use of the Town License will be promptly repaired and restored. 6. GID License and Town License Limited. The License rights granted herein may only be exercised within the specific authorized time periods set forth herein. 7. GID License and Town License Subordinate. The GID License and the TOSV License are subordinate to all existing and future mortgages, deeds of trust, and other security interests on the Tlmbermill Property and to any and all extensions, renewals, refinancing, and modifications thereof. The GID and the Town shall execute and deliver whatever instruments may be required for such purposes, or for the purpose of informing a potential or existing lender or purchaser of the Timbermill Property as to the status of its License. Any such instruments or estoppel letters shall contain all information reasonably required by Grantor or other entity in conjunction with such transaction. The GID and the Town agree to attorn to a lender or other party coming into title to the Timbermill Property upon written request. 8. Annual Use Fee. The GID and the Town will collectively pay Grantor a monthly fee of Two Thousand Dollars ($2000.00) for each month of summer use of the Skittles or part thereof, or for each month of use of the Town License or part thereof. On or before June 1St of each year, the GID and the Town will deposit with Grantor the amount of Eight Thousand Dollars ($8000.00) as a prepayment of the Annual Use Fee. On or before November 1St of each year, Grantor will calculate the Annual Use Fee from the months, or parts thereof, of summer use of the Skittles and the months, or parts thereof, of use of the Town License. In the event that the Annual Use Fee calculates to an amount less than the amount of the prepayment, Grantor will refund such excess payment to the GID and the Town collectively by November 15tH 9. TABOR Escalator. commencing June 1, 2012 by the Denver -Boulder Consumer Price the TABOR. The Annual Use Fee will increased yearly percentage increase from the previous year in the Index, all items, all urban consumers, as defined in 10. Grantor Reserved Rights. Grantor expressly reserves the right to utilize the areas within the GID License and the Town License for any purpose that does not unreasonably interfere with the GID License and the TOSV License. Grantor further reserves the right to restrict access temporarily to all or any portion of the areas within the GID License and the TOSV License at any time and from time to time in connection with construction, maintenance, and repair activities on the Timbermill Property or special events to be conducted thereon. In the event Grantor elects to exercise the reserved rights for a special event to be conducted on the Timbermill Property that could interfere with use of either the GID License or the Town License, Grantor will give written notice at Grantor's earliest opportunity to the Town to avoid conflicting schedules of special events by Grantor and Town. The GID, the Town and Grantor agree to use their respective best efforts to prevent conflicts in scheduling of special events in the GID License area and the Town License area 12. Legal Compliance. The GID and the Town and their respective invitees in connection with the use of the GID License and the TOSV License: a. shall comply with and abide by all federal, state, county, and municipal laws and ordinances; and b, may only possess, sell or consume alcoholic beverages on premises licensed for the sale, possession and consumption of alcoholic beverages and any such premises shall not overlap or overlay any other premises licensed for the sale, possession and consumption of alcoholic beverages on the Timbermill Property; and C. shall not use the area within the GID License and the TOSV License in any way that may result in an increase of the rate or cost to Grantor to insure the Timbermill Property; and d. shall not allow any hazardous or dangerous activities to be permitted upon the area of the GID License and the TOSV License. 10. Hold Harmless and Insurance. The parties expressly acknowledge that the GID License and the Town License are granted for a "recreational purpose" under, and Grantor is entitled to the benefits, protection and limitations on liability afforded by Colorado Law governing recreational easements, including, but not limited to, Section 33-41-101, et, seq. C.R.S. By granting the GID License and the Town License, Grantor shall have no obligation to repair, clear or otherwise maintain the area within the GID License and the Town License, or to insure or indemnify the GID or the Town for any injury, claim or damage to any person or property, whether alleged to have occurred as a result of use of the GID License and the Town License. By accepting the GID License and the Town License granted herein, the GID and the Town jointly and severally agree: a. to defend and hold Grantor and its successors and assigns harmless, to the extent authorized by Colorado law, subject to the procedural requirements and monetary limits of the Colorado Governmental Immunity Page 5 of 9 Act, Section 24-10-101, et. seq. C.R.S., for any injury, claim or damage to any person or property as a result of use of the GID License and the Town License; and b. to add Grantor as an additional insured on any policy of liability insurance carried by the GID and the Town and insuring against such claims or losses with a combined single limit of not less than Two Million Dollars ($2,000,000.00). A certificate of such insurance shall be provided to Grantor not later than June 1st of each year. 11. License Termination for Failure to Budget. In the event that the GID and the Town fail to budget and appropriate the Annual Use Fee for any year, then this GID License and the Town License will terminate on January 1st of the fiscal year of the failure of such budgeting and appropriation. 12. License Termination for Failure of Use. In the event that an Annual Use Fee is not paid for two (2) consecutive years, then the GID License and the Town License will terminate on November 1st of the second (2"d) year of nonpayment. The provisions contained in Section 13 and Section 14 are the sole reasons under which the GID License and/or the Town License may revoked or terminated and upon the happening of such termination, Grantor is authorized to record a Notice of Termination of License Agreement in the Office of the Clerk and Recorder of Pitkin County, Colorado. 13. Grantor Remedies. Except as otherwise provided herein, in event that the GID or the Town, or either of them, is in default in the performance of their respective obligations hereunder Grantor may suspend the use of both the GID License and the Town License until the default has been cured to the reasonable satisfaction of Grantor. 14. No Third Party Beneficiaries. This Agreement is made and entered into by the parties hereto for the benefit and protection of such parties, and no other person or entity shall have any rights or interest hereunder. 15. Entire Agreement. This Agreement and documents referred to herein contain the entire agreement between the parties hereto and supersede any and all prior agreements, verbal discussions and representations and warranties of either party hereto. This Agreement or any provision hereof may be amended only in writing. 16. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties and their respective legal representatives, successors and assigns. 17. No Assignment. Neither the GID nor the Town shall have power to assign Page 6 of 9 any of their rights or duties under this Agreement without the prior written consent of Grantor. 18. Attorneys' Fees. In any action or proceeding brought by Alpine or the Debtors to enforce any provision of this Agreement or to seek damages for a breach of any provision hereof, or where any provision hereof is successfully asserted as a defense, the prevailing party shall be awarded its attorneys' fees in addition to any other available remedy. 19. Applicable Law. This Agreement shall be construed under and enforced in accordance with the laws of the State of Colorado and venue for actions concerning it will occur in Pitkin County, Colorado. 20. Severability. If any provision of this Agreement is declared invalid by any court of competent jurisdiction, the remainder of this Agreement shall continue in full force and effect. 21. Authority to Execute. The individuals executing this Agreement on behalf of each party, by their signatures, represent and warrant that they have the necessary and sufficient authority to bind such entities and that they are duly authorized to execute and deliver this Agreement on behalf of such entity.
